BRIGAZO VENDOR AGREEMENT

  • INTRODUCTION
    Welcome to BRIGAZO.

    This Vendor Agreement (“Agreement”) governs your participation as a seller(“Vendor”, “Seller”, “You”, or “Your”) on the BRIGAZO online marketplace (“Platform”). By registering as a Vendor, listing products, or using the Platform, you agree to comply with this Agreement.

    If you do not agree to these terms, you must not use the Platform.

    BRIGAZO reserves the right to amend this Agreement from time to time. Updated versions will become effective upon publication on the Platform.

    2. ABOUT BRIGAZO
    BRIGAZO is a multi-vendor e-commerce marketplace that enables independent vendors to market and sell
    products to customers. BRIGAZO currently operates primarily within Nigeria while facilitating selected international trade, including products sourced from and shipped from the United Kingdom into Nigeria. As the Platform grows, services may expand across Africa and internationally. Unless expressly stated otherwise, BRIGAZO acts as a marketplace and technology provider and is not the owner, manufacturer, importer, or distributor of products sold by independent vendors.

    3. ELIGIBILITY
    To become a Vendor, you must:
    ā— Be at least 18 years of age.
    ā— Have the legal capacity to enter into binding contracts.
    ā— Provide accurate registration information.
    ā— Supply any documents requested by BRIGAZO for identity or business verification.
    ā— Comply with all applicable laws, regulations, and tax obligations.

    Business sellers may be required to provide:
    ā— Business registration documents.
    ā— Tax Identification Number (TIN).
    ā— Valid government-issued identification.
    ā— Bank account details.
    ā— Proof of address.

    BRIGAZO reserves the right to approve, reject, suspend, or terminate any vendor application at its sole discretion.

    4. VENDOR ACCOUNT
    Vendors are responsible for maintaining the confidentiality of their account credentials. You are solely responsible for all activities carried out through your account. You must immediately notify BRIGAZO of any unauthorised access or suspected security breach.

    5. PRODUCT LISTINGS
    Vendors are responsible for ensuring that all product listings are:
    ā— Accurate.
    ā— Truthful.
    ā— Complete.
    ā— Lawful.
    ā— Up to date.

    Each listing should include:
    ā— Product title.
    ā— Detailed description.
    ā— Specifications.
    ā— Price.
    ā— Stock quantity.
    ā— Images that accurately represent the product.
    ā— Warranty information, where applicable.

    The use of misleading descriptions or images is prohibited.

    6. PRODUCT QUALITY
    Vendors warrant that all products sold on BRIGAZO are:
    ā— Genuine.
    ā— Safe for their intended use.
    ā— Free from material defects unless clearly disclosed.
    ā— Legally obtained.
    ā— Compliant with Nigerian laws and applicable international regulations.
    ā— Counterfeit, stolen, expired, or prohibited products are strictly forbidden.

    7. PROHIBITED PRODUCTS
    The following products may not be listed on BRIGAZO:
    ā— Counterfeit goods.
    ā— Illegal drugs or controlled substances.
    ā— Weapons prohibited by law.
    ā— Explosives.

    ā— Hazardous materials without legal authorisation.
    ā— Stolen goods.
    ā— Pornographic materials prohibited by law.
    ā— Products infringing intellectual property rights.
    ā— Recalled products.
    ā— Expired food, cosmetics, or medicines.
    ā— Wildlife products prohibited by law.
    ā— Any product whose sale is restricted or illegal under applicable law.

    BRIGAZO may remove prohibited listings without notice.

    8. PRICING
    Vendors are responsible for setting competitive and accurate prices. Prices must include all applicable charges unless otherwise disclosed. Artificial price manipulation or deceptive pricing practices are prohibited.

    9. INVENTORY MANAGEMENT
    Vendors must maintain accurate inventory levels. Products that are out of stock should not remain available for purchase. Repeated cancellations due to stock shortages may result in account penalties.

    10. ORDER FULFILMENT
    Vendors are responsible for:
    ā— Promptly processing orders.
    ā— Preparing products for shipment.
    ā— Packaging products securely.
    ā— Dispatching orders within the required timeframes.
    ā— Updating shipment information.

    Failure to fulfil orders promptly may affect Vendor performance ratings.

    11. SHIPPING
    Vendors must comply with BRIGAZO’s Shipping Policy. For products shipped internationally, including shipments from the United Kingdom to Nigeria, Vendors are responsible for ensuring that products comply with applicable export and import regulations and that all required documentation accompanies the shipment. Customers must be informed where additional customs duties or import charges may apply.

    12. RETURNS AND REFUNDS
    Vendors must comply with BRIGAZO’s Returns and Refund Policy. Where a return is approved, Vendors shall cooperate fully with BRIGAZO to ensure timely processing. Where a Vendor is responsible for supplying a defective, damaged, counterfeit, or incorrect product, the Vendor shall bear all reasonable costs associated with the return, replacement, or refund.

    13. CUSTOMER SERVICE
    Vendors shall:
    ā—Ā Respond promptly to customer enquiries.
    ā—Ā Resolve complaints professionally.
    ā—Ā Treat customers with courtesy and respect.
    ā—Ā Cooperate with BRIGAZO in dispute resolution.

    Persistent poor customer service may result in suspension or termination of Vendor privileges.

    14. COMMISSIONS AND FEES
    Vendors agree to pay BRIGAZO the applicable commission, subscription fees, advertising fees, payment processing fees, or any other charges as communicated by BRIGAZO. BRIGAZO reserves the right to amend its fee structure by providing reasonable notice through the Platform.

    15. PAYOUTS
    Vendor earnings shall be paid according to BRIGAZO’s payout schedule after deducting applicable commissions, refunds, chargebacks, taxes, and other authorised deductions. Payouts are made every 15 days
    after customers have received products. BRIGAZO reserves the right to temporarily withhold payments where necessary to investigate fraud, disputes,
    or policy violations.

    16. TAXES
    Vendors are solely responsible for:
    ā— Declaring income.
    ā— Paying applicable taxes.
    ā— Collecting VAT where required.
    ā— Complying with all tax obligations in Nigeria and any other relevant jurisdiction.

    BRIGAZO does not provide tax advice.

    17. INTELLECTUAL PROPERTY
    Vendors warrant that they own or are authorised to use all trademarks, logos, photographs, product descriptions, and other intellectual property used in their listings. Vendors grant BRIGAZO a non-exclusive, worldwide, royalty-free licence to use such content for the purpose of operating, promoting, and marketing the Platform.

    18. DATA PROTECTION
    Vendors shall treat all customer information as confidential. Customer data obtained through BRIGAZO may only be used for fulfilling orders and providing customer service. The sale, sharing, or misuse of customer information is strictly prohibited.

    19. PERFORMANCE STANDARDS
    BRIGAZO may evaluate Vendor performance based on:
    ā— Order fulfilment rates.
    ā— Cancellation rates.
    ā— Return rates.
    ā— Customer reviews.
    ā— Complaint history.
    ā— Shipping performance.
    ā— Compliance with Platform policies.

    Repeated failure to meet acceptable standards may result in corrective action.

    20. SUSPENSION AND TERMINATION
    BRIGAZO may suspend or terminate Vendor accounts where there is evidence of:
    ā— Fraud.
    ā— Sale of counterfeit goods.
    ā— Repeated customer complaints.
    ā— Policy violations.
    ā— Abuse of the Platform.
    ā— Illegal activity.
    ā— Failure to maintain acceptable performance standards.

    Termination does not relieve Vendors of outstanding obligations.

    21. INDEMNITY
    Vendors agree to indemnify and hold harmless BRIGAZO, its directors, officers, employees, affiliates, and
    agents against all claims, losses, damages, liabilities, costs, and expenses arising from:
    ā— Products sold by the Vendor.
    ā— Breach of this Agreement.
    ā— Violation of applicable laws.
    ā— Infringement of intellectual property rights.
    ā— Negligence or misconduct by the Vendor.

    22. LIMITATION OF LIABILITY
    To the fullest extent permitted by law, BRIGAZO shall not be liable for:
    ā— Lost profits.
    ā— Business interruption.
    ā— Indirect or consequential damages.
    ā— Customer disputes.
    ā— Delays caused by shipping providers.
    ā— Customs delays or government actions.
    ā— Product defects supplied by Vendors.

    Where liability cannot legally be excluded, BRIGAZO’s liability shall be limited to the amount of commissions received by BRIGAZO in relation to the affected transaction.

    23. FORCE MAJEURE
    BRIGAZO shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, strikes, war, civil unrest, pandemics, internet outages, government actions, transportation disruptions, or power failures.

    24. GOVERNING LAW
    This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. As BRIGAZO expands into other jurisdictions, Vendors must also comply with all applicable laws and regulations in the countries in which they operate or sell products.

    25. DISPUTE RESOLUTION
    The parties agree to first attempt to resolve disputes through good-faith negotiations. If a dispute cannot be resolved informally, the parties agree to submit the matter to mediation before commencing court proceedings, unless otherwise required by applicable law. Any legal proceedings shall be brought before the competent courts of Nigeria unless otherwise agreed in writing.

    26. SEVERABILITY
    If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

    27. ENTIRE AGREEMENT
    This Agreement, together with BRIGAZO’s Customer Terms and Conditions, Returns & Refund Policy, Privacy Policy, Shipping Policy, and any other policies published by BRIGAZO, constitutes the entire agreement between BRIGAZO and its Vendors.
